These Terms of Use govern your access to and use of the products and services provided by RAMP Media Inc., operating as RAMP InterActive, including but not limited to RAMP Registrations, RAMP Websites, RAMP Assigning, RAMP Team App, and RAMP Gamesheets. By using our products and services, you agree to these Terms of Use. Please read them carefully.

Acceptance of Terms

By accessing or using any RAMP InterActive products or services, you agree to comply with and be bound by these Terms of Use, as well as any additional terms, policies, or guidelines that may apply to specific services or products. If you do not agree to these terms, do not use our products or services.

Modifications to Terms

We reserve the right to modify these Terms of Use at any time. Any changes will be posted on our website, and your continued use of RAMP InterActive products and services after changes are posted constitutes your acceptance of the modified terms.

User Accounts

To access certain features of our services, you may need to create an account. You are responsible for maintaining the confidentiality of your account credentials and for any activities that occur under your account. You agree to provide accurate and current information when creating or updating your account.

Permitted Use

You are granted a limited, non-exclusive, non-transferable, and revocable license to use RAMP InterActive products and services for lawful purposes. You agree not to:

• Modify, distribute, or create derivative works based on our products or services without prior consent.
• Use our products for any illegal or unauthorized purpose.
• Attempt to hack, destabilize, or interfere with the functionality of our products or services.

User Content

Our services allow users to upload, post, or share content such as registrations, rosters, and schedules. By submitting content, you grant RAMP InterActive a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, and distribute your content for the purpose of operating and improving our products and services. You are responsible for ensuring that your content complies with all applicable laws and regulations. RAMP InterActive reserves the right to remove any content that violates these terms or that we deem inappropriate.

Privacy and Data Protection

Your privacy is important to us. Our use of personal information collected through RAMP InterActive products and services is governed by our Privacy Policy. By using our services, you agree to the collection and use of information in accordance with our Privacy Policy.

In addition to complying with Canada's Personal Information Protection and Electronic Documents Act (PIPEDA), RAMP InterActive complies with Quebec's Law 25 (An Act to Modernize Legislative Provisions respecting the Protection of Personal Information), including but not limited to:

• Designating a Privacy Officer responsible for the protection of personal information.
• Implementing privacy-by-default and privacy-by-design principles across our platforms.
• Providing transparency around data retention periods and automated decision-making processes.
• Offering individuals the right to access, correct, anonymize, or delete their personal data where applicable.
• Notifying impacted users and authorities of confidentiality incidents involving personal information, as required by Law 25.

For users located in the United States or accessing our services from the U.S., RAMP InterActive complies with relevant federal and state privacy requirements, including but not limited to the California Consumer Privacy Act (CCPA) and California Privacy Rights Act (CPRA), where applicable. U.S. users may have additional rights, including:

• The right to know what personal data is collected, used, shared, or sold.
• The right to request deletion of their personal information.
• The right to opt out of the sale or sharing of personal information (RAMP InterActive does not sell personal data).
• Enhanced protections for minors in accordance with the Children's Online Privacy Protection Act (COPPA).

RAMP InterActive further adheres to U.S. Federal Trade Commission (FTC) data protection standards and applicable U.S. data breach notification laws.

Security

RAMP InterActive employs industry-standard security measures with robust infrastructure and platform-level protections. We operate on private, dedicated hardware with encrypted data and secure connections, including TLS 256-bit encryption, to protect your information. Our security protocols include firewalls, DDoS protection, VPNs, and session timeouts. Additionally, multi-factor authentication and role-based access are available to enhance account security. However, no system is entirely secure, and we cannot guarantee the absolute protection of your information. You are responsible for safeguarding your account credentials and must notify us immediately of any unauthorized use of your account.

Where required by applicable law, including Law 25 and U.S. state laws, we will notify affected users and authorities of a data breach involving personal information.

Intellectual Property

All content, design, and functionality of RAMP InterActive products and services, including but not limited to software, graphics, and text, are the intellectual property of RAMP Media Inc. and are protected by copyright and trademark laws. You may not use, copy, or distribute any such materials without our express written consent.

Fees and Payment

Some RAMP InterActive products and services may require payment. By selecting a service, you agree to pay all fees and charges associated with that service. Payment terms will be clearly outlined at the time of purchase, and any failure to comply with payment obligations may result in the suspension or termination of your account.

Third-Party Integrations

RAMP InterActive products may integrate with third-party services (e.g. Background Checks Providers, Merchant Account Providers). You acknowledge that any access to and use of such third-party services are subject to the respective third-party's terms of use and privacy policies.

Where third-party services process personal data, RAMP InterActive ensures contractual obligations consistent with Law 25, CCPA/CPRA, and other relevant privacy frameworks, including auditability and breach notification requirements.

Termination

We reserve the right to terminate or suspend your access to RAMP InterActive products and services at our sole discretion, without prior notice, for conduct that we believe violates these Terms of Use or is harmful to other users or our business.

Limitation of Liability

To the fullest extent permitted by law, RAMP InterActive will not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with the use or inability to use our products or services, even if we have been advised of the possibility of such damages.

Indemnification

You agree to indemnify, defend, and hold harmless RAMP InterActive, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including legal fees, arising out of or in any way connected with your use of our products and services or your violation of these Terms of Use.

Governing Law

These Terms of Use shall be governed by and construed in accordance with the laws of the Province of Alberta, Canada, without regard to its conflict of law provisions. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts in Alberta, Canada.

Users residing in Quebec or the United States may have additional rights under applicable privacy and consumer protection legislation, which shall apply without modifying the governing law clause.
